AirGarage Referral Partner Program Terms — version 2026-09-v1

These terms set out the basis on which you (the "Referral Partner") may refer prospective property owner customers to AirGarage, Inc. ("AirGarage") in exchange for referral payments. We've kept this simple on purpose.

Accepting these terms. You accept these terms by ticking the acceptance box and typing your full name. Doing so has the same legal effect as signing a paper copy, and the date you accept is the effective date of your participation. You agree to transact with AirGarage electronically and to receive these terms and related notices in electronic form. AirGarage, Inc., 2261 Market St #4027, San Francisco, CA 94114.

1. How it works

Your role is to identify real estate owners who may benefit from AirGarage's parking management services, generate their interest using AirGarage-provided information and marketing materials, and then introduce them to our sales team. You are not expected to sell AirGarage's services yourself. Once we accept a referral, our team takes it from there.

When you identify a potential customer, submit their information through our online referral form or by email to your AirGarage point of contact, with the property owner's name, contact info, property address, and property type.

AirGarage will review each referral and accept or reject it within 15 business days of submission. We may reject a referral for any reason, including if the prospect is already in our pipeline or is an existing customer. Once a referral is accepted, you will introduce the prospect to AirGarage's sales team by email or phone. From that point, AirGarage handles the sales process. Accepted referrals must result in a signed AirGarage contract within 180 days of AirGarage's acceptance of the referral to qualify for payment.

2. What you earn

Referral payment. A flat $10,000 for each referred property that results in a signed AirGarage contract.

When you're paid. The $10,000 is a one-time payment per closed property, issued after the referred property signs an AirGarage contract and goes live. You will receive your payment within 30 days of the property's go-live date with AirGarage.

Cap. None. Refer as many eligible properties as you want.

This replaces any prior commission structure based on a percentage of parking revenue. The flat $10,000 payment applies to all referrals accepted on or after the date you accept these terms.

No payment is made for referrals who are already AirGarage customers or prospects in our active pipeline. AirGarage may adjust the referral payment amount with 30 days' written notice, but any change only applies to referrals submitted after the notice period.

3. Eligible referrals

To qualify for payment, a referral must be a genuine, arm's-length introduction to a property that is new to AirGarage. The following are not eligible for a referral payment:

Properties owned, managed, controlled by, or affiliated with the company you work for. You may not submit a referral for any property that is owned, leased, operated, or managed by your own employer or any parent, subsidiary, or affiliated entity of your employer, or in which you or your employer holds a financial interest. Referrals must be for third-party properties outside your own organization.

Properties already in an active sales cycle with AirGarage. Properties that, at the time of your submission, are already AirGarage customers, or are the subject of an active AirGarage sales cycle — meaning AirGarage has an open opportunity, active deal, or ongoing sales conversation or negotiation with the property owner or their representative, whether sourced by AirGarage directly or through another channel.

Duplicate or competing referrals. Where the same property is referred by more than one referral partner, only the first eligible submission AirGarage received qualifies for payment, based on AirGarage's records. No payment is owed if AirGarage was already independently pursuing the property, or had already accepted another partner's referral for it, at the time of your submission.

AirGarage determines eligibility in its reasonable discretion. If a referral is later found to be ineligible under this section, no payment is owed, and AirGarage may recover any payment made in error.

4. Your responsibilities

Represent AirGarage honestly and professionally. Use only AirGarage-provided marketing materials and information to generate interest with potential customers. Do not represent yourself as an employee, agent, or official representative of AirGarage. You are a referral partner, and prospects should understand that distinction. Do not make promises or commitments about our services, pricing, or terms that go beyond what's in our published materials. Don't engage in deceptive, misleading, or illegal practices when seeking referrals. You are responsible for your own business expenses and taxes on any payments earned, and will be required to submit an up to date W-9 to AirGarage prior to any payment being made.

5. Our responsibilities

We'll review referrals promptly, keep you informed of their status, and pay on time. We may provide you with marketing materials and product information at our discretion to help you identify referral candidates.

6. Relationship

You are an independent contractor, not an employee or agent of AirGarage. You have no authority to make commitments or enter into agreements on our behalf. You may not negotiate or represent pricing, revenue share, or other contract terms to any prospect. This is a nonexclusive arrangement, we work with other referral partners as well.

7. Confidentiality

We each agree to keep confidential any proprietary business information shared under these terms, including payment terms, customer information, and any internal data shared during the referral process, and to use such information solely for the purposes of the referral relationship. This obligation survives termination.

8. Term and termination

These terms run for 12 months from the date you accept them and auto-renew annually unless either party gives 30 days' written notice. Either party may terminate at any time with 30 days' written notice. If these terms are terminated, AirGarage will continue to pay for any referrals accepted before the termination date that go on to close and go live, subject to these terms. Referrals submitted but not yet accepted as of the termination date will not qualify for payment.

9. General

These terms are governed by California law. Neither party may assign these terms without the other's written consent. This is the entire agreement between us on this topic and supersedes any prior discussions. AirGarage's total liability under these terms will not exceed the payments paid or payable to you.
